Supporting the shareholders of Haulaway on the sale of part of the business to EverGrowth Group

26 October 2026

We are delighted to have advised the shareholders of Haulaway Ltd on the carve-out and sale of the waste transfer station and skip hire business to EverGrowth Group.

Haulaway is a family-run recycling and waste management company based in the South East of England, providing skip hire and a variety of other waste management services. The business operates from two sites, including a waste transfer station and recycling distribution facility.

As part of the transaction, the recycling distribution facility was separated from the waste transfer station and skip hire business. The recycling facility has been retained by the vendors, while the waste transfer station and skip business has been acquired by EverGrowth Group.

EverGrowth Group is a founder-led group backed by FourLeaf Capital, which partners with B2B essential services businesses across the UK. The acquisition of Haulaway further expands EverGrowth’s Environmental Services vertical and supports its ambition to become a nationwide facilities management provider.

“We’re delighted to have supported the shareholders of Haulaway on this transaction. The carve-out added an extra layer of complexity to the deal, requiring careful planning and coordination to separate the different parts of the business while progressing the sale.

“It was a pleasure to work closely with the shareholders and their advisers throughout the process, helping them navigate the commercial, financial and structural considerations and achieve a successful outcome. We wish both the Haulaway team and EverGrowth Group every success for the future.”

Malcolm Coomber, Director, Deal Advisory

How we supported

Affinia provided full Deal Advisory support throughout the transaction, including:

Marketing the business and supporting the transaction process.
Leading commercial negotiations.
Project-managing the deal through to completion.
Advising on the financial and tax structuring of the carve-out.
Supporting the separation of the recycling distribution facility from the waste transfer station and skip business.
Advising on completion accounts.
Liaising closely with the shareholders, their legal advisers and other stakeholders throughout the process.

The outcome

The transaction completed successfully, with EverGrowth Group acquiring Haulaway’s waste transfer station and skip business, while the vendors retained the recycling distribution facility.

For the sellers, the transaction provides an opportunity to reinvest in the recycling facility they have retained. For EverGrowth Group, the acquisition further expands its Environmental Services offering and supports its ambition to build a nationwide facilities management provider.

“We instructed Affinia to act on our behalf for the carve-out and subsequent sale of part of our business. We found Malcolm and Paul’s guidance and expertise invaluable at every stage in getting the deal completed.

This was the first time we had been through a corporate transaction of this size and complexity, and we were consistently impressed by the team’s patience and clarity in walking us through the financial and process complexities at each stage. Affinia’s pragmatic, dedicated approach was instrumental in getting the deal over the line. Paul made the process very straightforward with step by step instructions, we could not have completed the process without him.

Affinia also project-managed the process, liaising closely with our lawyers, internal finance team, and accountants, and consistently found practical solutions when necessary.

We would highly recommend the Affinia Deal Advisory team to anyone seeking an advisor for a sale or an investment.”
